Penalty Fee Agreement for Early Cancellation of Membership
This Penalty Fee Agreement (the "Agreement") is made and entered into as of the sign-up date, by and between the customer (the "Customer") and MOVEMENT & SPORTS MEDICINE CENTRE (the "Fitness Centre").
Whereas, the Customer has entered into a membership agreement with the Fitness Centre for a term of less than six months (the "Membership Agreement");
Whereas, the Membership Agreement includes a provision that requires the Customer to pay a penalty fee if the Customer cancels the Membership Agreement before the end of the term of the Membership Agreement;
Whereas, the parties desire to set forth the terms and conditions of the penalty fee;
Now, therefore, in consideration of the mutual promises and covenants contained herein, the parties agree as follows:
Penalty Fee: If the Customer cancels the Membership Agreement before the end of the term of the Membership Agreement, the Customer shall pay a penalty fee of $299 (the "Penalty Fee"). The Penalty Fee is a reasonable estimate of the damages that the Fitness Centre would incur as a result of the early cancellation of the Membership Agreement.
Membership cancelation: Members agree to be responsible to cancel their own membership through their booking platform Momence, any paid membership fee will not be refunded. The studio will not be held responsible for any further deductions.
Payment of Penalty Fee: The Customer shall pay the Penalty Fee within 30 days of the cancellation of the Membership Agreement. The Penalty Fee shall be paid in full and shall be made payable to the Fitness Centre.
Release of Claims: The Customer hereby releases and discharges the Fitness Centre and its agents, employees, officers, directors, successors, and assigns from any and all claims, damages, liabilities, costs, expenses, or demands arising from or related to the penalty fee.
Early Termination by the Studio: Should the studio decide to revoke or cancel the membership before the minimum term of 6 months for any reason deemed appropriate by the studio, the early termination fee will apply, and the member agrees to release the studio from any claims related to it.
Governing Law: This Agreement shall be governed by and construed in accordance with the laws of the state of Singapore.
Counterparts: This Agreement may be executed in one or more counterparts, each of which shall be deemed an original, but all of which together shall constitute one and the same instrument.
Refunds: Unused Sessions/Classes: No refunds once deducted for the month.
Late Arrival: No refunds for refused entry due to late arrival.
Advance Cancellations: Full refund available if cancellation is made at least 7 days before the session/event or within 24 hours of purchase.
Same-Day Bookings: No refunds for same-day bookings.
Class Late Arrivals: Entry: No entry allowed once a class starts.
Refunds/Rescheduling: No refunds, rescheduling, or make-up sessions for late arrivals.
Advance Cancellations: Cancellations or rescheduling must be done at least 24 hours in advance.
Photography & Videography: Marketing: Photographs & videos may be taken on the premises for marketing purposes.
Security: CCTV may be in operation for security.
Refunds & Extensions: Non-refundable, non-transferable, with no rollovers.
Cancellation & Lateness: 24 hours notice required for cancellations; late arrivals will not extend session time. These terms represent the full agreement between the Trainer & the Client regarding personal training packages.
Cancellation Policy: General: 24 hours notice required for cancellations.
Cold Exposure & Premium Classes: Full drop-in rate charged for cancellations made less than 24 hours in advance.
Fitness Classes: $21 fee for late cancellations or no-shows.
Medical Cancellations: Fee waived with a valid medical certificate from a recognised medical physician. Chiropractors, TCM, & other alternative providers are not accepted.
Member Cancellations & No-Shows: Medical Emergencies: Members can cancel due to medical emergencies with a valid medical certificate.
Family Emergencies: Immediate family members' emergencies are covered under the same conditions. Unpaid Dues from No-Shows: Notification of unpaid dues immediately. Account freeze if dues are not settled within 7 days. Membership termination if dues remain unpaid after two weeks. Reinstatement requires full payment of dues.
Pausing of Membership: Eligibility: Memberships can be paused after the first 6 months.
Maximum Pause Length: 1 month, with a prorated fee of $39.
Policy Rationale: Ensures quality service & sustains business operations. Helps manage resources effectively. Agreement Integrity.
Acceptance of Updated Terms: Continued Use: By continuing to use the services of Movement & Sports Medicine Centre after any updates to the terms & conditions have been sent to the client, the client agrees to be bound by the updated terms & conditions.
Notification of Updates: Clients will be notified of any updates to the terms & conditions. It is the client's responsibility to review the updated terms & conditions.
Binding Agreement: The updated terms & conditions will be considered as accepted & binding once communicated to the client, regardless of whether the client has signed the updated agreement.
Teacher's Obligation: If you are the only one booked for a class, the teachers will wait for 5 minutes before deciding to close the session.
Third Party App & Links: If you book via a 3rd party app (not through our website), you may be put on a waitlist or have your class cancelled to make way for our direct bookings.
Lost & Found: Personal belongings (except personal electronic devices) such as water bottles, tops, pants/shorts, etc., that have not been claimed within 24 hours of the session will be discarded.
Commitment to Fairness: We understand that unforeseen circumstances can lead to no-shows. We encourage members to communicate with us proactively in such instances. Our aim is not to penalise but to ensure fairness & the availability of our services to all members.

By purchasing or attending PT sessions, the client agrees that:
Assumption of RiskAll physical exercise involves risks including muscle strain, joint injury, dizziness, falls, equipment issues, exacerbation of existing conditions, & in rare cases, serious injury or death.
Waiver of Legal Claims
To the fullest extent permitted by Singapore law, the client waives, releases, & discharges MSMC, its owners, staff, trainers, & contractors from any liability relating to injury, illness, accident, or death arising from training — except in cases of proven gross negligence.
Indemnity
The client agrees to indemnify & hold MSMC harmless from any claims, legal fees, or liabilities arising from misuse of equipment, non-compliance with instructions, or physical incidents within the studio.
SeverabilityIf any part of this waiver becomes unenforceable, the remaining clauses remain fully valid.

13. Agreement to Terms & Conditions via Momence AppAll clients & members are required to download the Momence App to manage bookings, view package information, and access studio policies.
By purchasing any personal training package, class package, membership, or booking any session through Momence or directly with Movement & Sports Medicine Centre, the client acknowledges that they have read, understood, and agreed to all Terms & Conditions listed on our website & within the Momence platform.
Utilisation of any session (personal training, F.S.T, stretch sessions, classes, or similar services) constitutes automatic acceptance of all Terms & Conditions.
14. Studio Rights
Automatic Agreement Clause
By purchasing, booking, or attending any PT session at MSMC, the client automatically confirms that they have read, understood, & fully accepted these Terms & Conditions without the need for a physical signature.

Personal Training Package Terms
1. Package Validity
- PT packages are valid for 1 week per session
(e.g., 10 sessions = 10 weeks validity). - Unused sessions after the validity period will automatically expire.
- Extensions are not granted unless approved by management.
2. Refund Policy (Updated)
- Refunds are strictly allowed only if the package has not been used at all (0 sessions used).
- Once a client has completed even 1 session, the entire package becomes 100% non-refundable.
- Partially used packages cannot be refunded, transferred, paused, or credited.
3. Non-Transferability
- Packages cannot be transferred to another person once they have been activated or used.
4. Session Duration
- Standard trainer sessions: 55 minutes
- Senior Sports Medicine Trainer sessions: 50 minutes
- Sessions start & end on time regardless of client arrival.
5. Bookings & Scheduling
- Bookings must be made at least 3 days in advance.
- Bookings made with less than 3 days’ notice are subject to availability.
- MSMC does not guarantee the same trainer each session due to scheduling needs, peak periods, or trainer availability.
6. Cancellation Policy
- Cancellations must be made 48 hours in advance.
- Cancellations under 48 hours will result in the session being automatically forfeited by the system.
- No-shows or forgotten bookings will be fully charged.
7. Late Arrival Policy
- If the client is late, the session will still end at the scheduled time.
- Arrivals 20 minutes late or more will be marked as a completed session.
8. Session Sharing
- Sessions are shareable with anyone, not limited to family members.
- The main package holder is responsible for all administration, booking, & cancellation actions.
9. Freezing & Pausing
- Packages cannot be paused, frozen, or extended for personal reasons.
- Freezing is allowed only for medical reasons, with a doctor’s memo & approval from management.
10. Safety Disclosure
- Clients must disclose all injuries, pain, medical conditions, dizziness, previous surgeries, or pregnancy.
- MSMC is not responsible for injuries caused by non-disclosure.
- Trainers are not medical professionals & do not diagnose medical issues.
11. Liability Waiver & Assumption of Risk
By purchasing or attending PT sessions, the client agrees that:

- Full payment must be made before the first session.
- Prices may change without notice, but purchased packages retain their paid value.
- No refunds, credits, or adjustments will be offered for expired sessions, missed sessions, or unused sessions (except under the unused-package refund rule).
